1. Acceptance of Terms

By accessing the website at https://capitalawebstudio.co.uk or engaging our services, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

2. Service Provision & Contract Models

Capital A Web Studio provides web design, hosting, and technical optimization services. Clients may engage the Studio under one of the following two models:

  • Model A: Managed Build (Fixed Term)
    • Upfront Cost: The initial design and development fee is waived or reduced.
    • Commitment: In exchange for the waived build cost, the Client agrees to a fixed 12-month minimum termfor managed hosting and maintenance.
    • Early Termination: If the Client cancels within the initial 12 months, the remaining balance of the full 12-month term becomes due immediately to cover initial build and licensing costs.
  • Model B: Split-Payment (Rolling Contract)
    • Upfront Cost: The total project build cost is paid in agreed installments (typically 50% deposit and 50% upon launch).
    • Commitment: Upon final payment of the build fee, the Client moves to a 30-day rolling agreement for hosting and maintenance.

Following the completion of any initial fixed term, all contracts automatically transition to a 30-day rolling agreementwhich can be cancelled with one full calendar month’s written notice.

3. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Capital A Web Studio’s website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials;
  • Use the materials for any commercial purpose, or for any public display;
  • Attempt to decompile or reverse engineer any software contained on the website;
  • Remove any copyright or other proprietary notations from the materials.

4. Domain Names & DNS Management

  • Ownership: The Client retains full legal ownership of any domain name associated with their project.
  • Technical Access: To ensure high-performance delivery through our Google Cloud/10Web infrastructure, the Client agrees to grant “DNS Management” access (via Nameservers or A-Records) to the Studio.
  • Liability: The Studio is not responsible for website downtime caused by expired domain registrations or third-party registrar failures.

5. Ownership & Intellectual Property

  • Design & Content: Full ownership of the website’s front-end design and content is transferred to the Client upon completion of the initial 12-month term (Model A) or upon final payment of the build fee (Model B).
  • Portfolio Rights: The Studio retains the right to display the project in its portfolio and include a “Powered by Capital A” link in the footer.

6. Community Equity (Oxfordshire Mind)

Capital A Web Studio is a “Local-First” business. 5% of all monthly project revenue is donated directly to Oxfordshire Mind to support local mental health services. These donations are managed and paid quarterly by the Studio.

7. Disclaimer & Limitations

The materials on Capital A Web Studio’s website are provided on an ‘as is’ basis. Capital A Web Studio makes no warranties, expressed or implied, regarding the accuracy of materials or specific business outcomes. In no event shall the Studio or its partners be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the services or materials.

8. Accuracy of Materials

The materials appearing on the website could include technical, typographical, or photographic errors. Capital A Web Studio does not warrant that any of the materials on its website are accurate, complete or current. Changes to the materials may be made at any time without notice.

9. Links

Capital A Web Studio has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by the Studio.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
